Terms & Conditions - the basics
1. Introduction and Acceptance
Welcome to AI Live Learning Lab. These Terms of Service ("Terms") govern your access to and use of the website at ailivelearninglab.com, our programmes, workshops, meet-ups, community spaces and consulting services (collectively, the "Services") provided by AI Live Learning Lab, a trading name of Maximilia Limited ("we," "us," or "our").
By accessing or using our Services, registering for an event, purchasing a programme or ticket, or creating an account, you agree to be bound by these Terms and our Privacy Policy. If you are using these Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not access or use our Services.
2. Services and Access
AI Live Learning Lab provides live online and in-person AI training, workshops, cohort programmes, meet-ups, consulting and community services to individuals, professionals, teams and businesses primarily based in New Zealand and Australia.
2.1 Eligibility
Our Services are intended for individuals, professionals and businesses aged 18 years or older. By using our Services, you represent that:

You have the legal capacity to enter into a binding contract under the laws of New Zealand or, where applicable, Australia

You are not prohibited from using our Services under any applicable law
2.2 Account Registration
To access certain features (such as cohort materials, community platforms, or session recordings), you may be required to register an account. You agree to:

Provide accurate, current and complete information

Maintain the security of your password and account details

Notify us immediately of any unauthorised use of your account

Take responsibility for all activities that occur under your account
2.3 Geographic Scope
Our Services are designed for users based in New Zealand and Australia. We do not actively market to or accept enrolments from users in jurisdictions where our Services would be unlawful. By accessing the Services from outside New Zealand or Australia, you do so at your own initiative and are responsible for compliance with local laws.
3. Privacy and Data Protection
Your privacy is paramount. Our collection, use, and disclosure of your personal information are governed by our Privacy Policy at ailivelearninglab.com/privacy, which is incorporated into these Terms by reference.
3.1 Compliance with New Zealand Law
We comply with the Privacy Act 2020 (New Zealand) and the Information Privacy Principles set out in that Act. By using our Services, you consent to the data practices described in our Privacy Policy.
3.2 Compliance with Australian Law
For users based in Australia, we also comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs) where they apply to our handling of personal information.
3.3 Data Minimisation and Your Rights
We collect only the information necessary to provide our Services. You retain the right to:

Request deletion of your personal data, subject to our legitimate retention requirements

Withdraw consent for marketing communications at any time (unsubscribe in any email, or email hello@ailivelearninglab.com)
3.4 Third-Party Processing
You acknowledge that certain data (specifically payment information) is processed by third-party providers (such as Stripe Payments Australia Pty Ltd, Wix Payments and MailerLite) and is subject to their respective privacy policies in addition to ours.
4. Fees, Payments and Refunds
4.1 Pricing and Currency
Prices for workshops, cohort programmes, ticketed events and consulting engagements are displayed in New Zealand Dollars (NZD) unless otherwise specified. Australian customers may be charged in NZD with currency conversion handled by their card issuer, or in Australian Dollars (AUD) where indicated at point of sale.
4.2 GST
For New Zealand customers, prices are inclusive of New Zealand Goods and Services Tax (GST) at 15%, unless otherwise stated. For Australian customers, Australian GST may or may not apply depending on Maximilia Limited's GST registration status in Australia. The GST treatment shown at checkout is the operative position.
4.3 Payment Processing
We use Stripe and Wix Payments to process payments securely. We do not store full credit card details on our servers. Payment information is handled by our payment processors in accordance with their security standards and privacy policies.
4.4 Refund and Cancellation Policy
B2C cohort programmes (AI Fundamentals, AI Marketing Fast-Track, Claude Cowork):

Full refund if you cancel 7 or more days before the cohort start date

Transfer to a future cohort with no penalty if you cancel within 14 days of the cohort start date

No refund is available once the first session of your cohort has begun

Exceptional circumstances (medical, family emergency) considered case by case at our discretion
B2C ticketed workshops and events:

Cancellations made 7 or more days before an event are refundable in full
-
Cancellations made less than 7 days before an event are non-refundable, but you may transfer your ticket to another person

Free events have no refund (no payment was made)
B2B engagements (Team Cohorts, Lunch & Learns, AI Strategy Days, custom programmes):

50% deposit on signed proposal, balance payable 7 days before delivery start
-
Full refund if we cannot agree on scope or customisation before deposit is invoiced
-
Transfer to a future date without penalty if requested 14 or more days before delivery start
-
After delivery start, refund and credit decisions are governed by the specific signed engagement letter
4.5 Cancellations by Us
If we cancel a cohort, event or engagement, you are entitled to a full refund or, at your option, a credit toward a future Service of equivalent value.
5. Intellectual Property
5.1 Our Content
All content provided by AI Live Learning Lab, including but not limited to cohort materials, slide decks, prompts, frameworks, templates, custom AI assistants, workflows, recordings, logos, website copy and methodologies, is the exclusive intellectual property of Maximilia Limited or its licensors.
You are granted a limited, non-exclusive, non-transferable, revocable licence to use these materials for your own personal use or for internal business learning within your organisation. You may not:

Resell, redistribute, sublicense or commercially exploit our materials

Reproduce our materials beyond reasonable internal use

Use our materials to train competing AI training products
-
Remove or modify any copyright notices or branding
This licence terminates if you breach these Terms.
5.2 Third-Party Presenters
Some workshops, cohort sessions and meet-ups feature content presented by third-party experts (including but not limited to Gau Kurman, Hanna Siebdrat, Zheng Li and Parisa Shademan). Intellectual property rights for such content remain with the respective presenters. You are granted a licence to use such content solely for the purpose of the specific Service in which it was presented.
5.3 User-Generated Content
By posting content (including posts, comments, images, recordings, code, prompts) to our community spaces (WhatsApp groups, Office Hours, public events):

You retain ownership of your content

You grant AI Live Learning Lab a non-exclusive, royalty-free, worldwide licence to host, display, reproduce and use your content within the context of providing the Service and our wider marketing (e.g. anonymised quote testimonials), provided we obtain your specific permission before using identifying content publicly

You represent that you have the right to post such content and that it does not infringe on the rights of others

You acknowledge that our community spaces are private and you must not share content posted by others outside those spaces without explicit permission from the original poster
6. User Conduct
AI Live Learning Lab operates community spaces (including but not limited to cohort WhatsApp groups, Office Hours, meet-up Zoom sessions and any future community platforms). You agree not to:

Harass, abuse, intimidate or threaten other members, presenters or staff

Post content that is unlawful, defamatory, discriminatory, or that promotes hate speech, violence or illegal activity

Use the Services to send unsolicited commercial messages (spam) in breach of the Unsolicited Electronic Messages Act 2007 (NZ) or the Spam Act 2003 (Cth) (AU)

Scrape, harvest or collect data from our Services using automated means
-
Attempt to bypass any security measures or access controls of the platform

Use our Services for any purpose that competes commercially with AI Live Learning Lab

Misrepresent your identity, role or affiliation when participating in our Services
We reserve the right to suspend or terminate the accounts of users who breach these guidelines. Account suspension or termination is at our discretion. Refund eligibility in cases of termination for breach is governed by Section 4 above. Data retention or deletion in such cases is handled in accordance with our Privacy Policy.
7. Disclaimers and Limitation of Liability
7.1 General Advice Warning
The information provided through our workshops, cohort programmes, consulting engagements, community spaces, written content and any other Service is for educational and general informational purposes only. It does not constitute legal, financial, taxation, regulatory or specific organisational advice.

AI technology evolves rapidly. Information that is accurate at the time of publication or delivery may become outdated. We endeavour to keep our materials current but cannot guarantee continuous accuracy.

You should obtain specific professional advice before making business decisions based on AI outputs or our Service content.
7.2 AI Outputs
You acknowledge that Artificial Intelligence tools discussed, demonstrated or used during our Services (including but not limited to Claude, ChatGPT, Microsoft Copilot, Google Gemini and Perplexity) may produce inaccurate, biased or "hallucinated" results. AI Live Learning Lab is not responsible for the output of any third-party AI tools you use during or after our training. You are responsible for verifying AI outputs before relying on or sharing them.
7.3 Consumer Protection — New Zealand
Where you acquire our Services as a consumer (and not for the purposes of a business), you have rights under the Consumer Guarantees Act 1993 (CGA) that cannot be limited or excluded. Nothing in these Terms is intended to limit your rights under the CGA where it applies.
Where you acquire our Services for the purposes of a business and section 43 of the CGA applies, you and we agree to contract out of the CGA to the maximum extent permitted by law.
7.4 Consumer Protection — Australia
Where you acquire our Services as a consumer in Australia, you have rights under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) (ACL) that cannot be limited or excluded. Nothing in these Terms is intended to limit your rights under the ACL where it applies.
Where you acquire our Services for the purposes of a business and the value exceeds the thresholds in the ACL, the consumer guarantees in the ACL may be limited as permitted by section 64A of the ACL.
7.5 Limitation of Liability
Subject to Sections 7.3 and 7.4 and to the fullest extent permitted by law, AI Live Learning Lab and Maximilia Limited shall not be liable for any indirect, incidental, special, punitive or consequential damages arising out of or in connection with your use of the Services, including but not limited to loss of profits, business interruption, loss of data or loss of opportunity.
Our total aggregate liability to you for any claim arising out of or in connection with these Terms (whether in contract, tort, statute or otherwise) shall not exceed the total amount you paid to us for the specific Service giving rise to the claim in the 12 months preceding the claim.
8. Modifications to Terms
We may update these Terms from time to time to reflect changes in our Services, our business, or applicable legal requirements. We will notify users of material changes via email to the address on your account, or via a prominent notice on our website, at least 14 days before changes take effect. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
The "Last updated" date at the top of this document reflects the most recent revision.
9. Force Majeure
Neither party will be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) where such failure or delay is caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications outages, or third-party service failures. The affected party will use reasonable efforts to mitigate the effect of the event and to resume performance as soon as practicable.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of laws principles. Where Australian consumers have non-excludable rights under the ACL, those rights apply notwithstanding this clause.
10.2 Dispute Resolution
If you have a concern or dispute, please contact us at hello@ailivelearninglab.com in the first instance. We will respond within 5 business days and attempt to resolve the matter in good faith.
If the dispute cannot be resolved through direct discussion, the parties agree to attempt resolution through mediation before commencing any court proceedings.
10.3 Jurisdiction
Subject to Sections 7.3, 7.4 and 10.1, any legal proceedings arising from or in connection with these Terms shall be subject to the non-exclusive jurisdiction of the courts of New Zealand. Australian consumers retain the right to bring proceedings in Australian courts where the ACL or other Australian consumer law provides that right.
11. General Provisions
11.1 Entire Agreement
These Terms, together with our Privacy Policy and any specific engagement letter or proposal signed between us, constitute the entire agreement between you and AI Live Learning Lab regarding the Services and supersede any prior agreements, communications or representations.
11.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.
11.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by us.
11.4 Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms to any successor entity, including in connection with a corporate restructure or sale of business.
11.5 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, agency, employment or franchise relationship between you and AI Live Learning Lab.
